These Terms of Use ("Terms") govern your access to and use of www.jawaraljazira.com and any sub-domains (collectively, the "Site"), operated by Jawar Al Jazira Construction & Building Co. ("JJCO", "we", "us" or "our"), a company organised under the laws of the Kingdom of Saudi Arabia with its head office in Jeddah.

By accessing, browsing or otherwise using the Site you confirm that you have read, understood and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree, you must stop using the Site.

1. Eligibility

The Site is intended for business users aged 18 or over. By using it you represent that you have full legal capacity to enter into a binding agreement, and - where you are acting on behalf of an organisation - that you are authorised to bind that organisation to these Terms.

2. Purpose of the Site

The Site is provided for general information about JJCO, its services, projects, clients, certifications and career opportunities. Nothing on the Site constitutes a commercial offer, tender, quotation, guarantee or contractual commitment. Any engagement with JJCO is governed exclusively by a separate written contract signed by an authorised representative of JJCO.

3. Intellectual property

All content on the Site - including text, graphics, photographs, illustrations, logos, icons, layout, source code, scripts, project descriptions, drawings and downloadable documents (the "Content") - is owned by JJCO or its licensors and is protected by Saudi and international copyright, trademark, database and other intellectual-property laws.

"JJCO", the JJCO mark and the Jawar Al Jazira logo are trademarks of Jawar Al Jazira Construction & Building Co. Third-party trademarks, client logos and project names displayed on the Site remain the property of their respective owners and are shown solely to reference past or current business relationships; no endorsement, sponsorship or affiliation is implied unless expressly stated.

4. Permitted use

Subject to your continued compliance with these Terms, JJCO grants you a limited, non-exclusive, non-transferable, revocable licence to:

• access and view the Site through a standard web browser;
• download and print individual pages for personal, non-commercial reference, professional evaluation or pre-qualification purposes; and
• share links to publicly accessible pages on the Site.

5. Prohibited use

You must not:

• copy, reproduce, republish, distribute, sell, sub-licence or commercially exploit any part of the Content without our prior written consent;
• modify, translate, adapt or create derivative works of the Content, or remove any copyright, trademark or other proprietary notice;
• use the Site or any Content to develop a competing product or service, or to train any machine-learning or generative-AI model;
• use any robot, scraper, spider or other automated means to access, index or harvest the Site, or attempt to bypass any technical or access-control measure;
• introduce any virus, worm, trojan, ransomware or other malicious code, or otherwise attempt to interfere with, disrupt or compromise the integrity, security or performance of the Site;
• impersonate JJCO, a JJCO employee or any other person or entity, or misrepresent your affiliation with any of the foregoing;
• use the Site for any unlawful, fraudulent or misleading purpose, or in any way that violates Saudi law or the laws of any jurisdiction from which you access the Site.

6. Submissions and enquiries

Information you submit through the contact form or by email is handled in accordance with our Privacy Policy. You confirm that any information you submit is accurate, lawfully provided, and does not infringe any third-party right. JJCO is under no obligation to act on, respond to or maintain confidentiality over unsolicited business proposals, ideas or concepts submitted through the Site, except where a separate non-disclosure agreement is in place.

7. Third-party links and content

The Site may include hyperlinks to third-party websites or services (including the embedded OpenStreetMap on our Contact page). Those resources are provided for convenience only. JJCO does not control, endorse or assume any responsibility for the availability, content, accuracy, products, services or privacy practices of any third party. Use of any third-party site is at your sole risk.

8. Disclaimers

The Site and all Content are provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied or statutory. To the maximum extent permitted by law, JJCO disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, uninterrupted availability and freedom from errors, viruses or harmful components.

Project values, contract amounts, durations, capacities, headcounts and equipment lists shown on the Site are indicative and provided for marketing purposes only. They may change without notice and should not be relied upon for investment, procurement, regulatory or engineering decisions without independent verification.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall JJCO, its shareholders, directors, officers, employees, agents or affiliates be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with your access to or use of (or inability to use) the Site or any Content, even if JJCO has been advised of the possibility of such damages.

JJCO's total aggregate liability arising out of or in connection with these Terms or the Site shall not exceed one hundred Saudi Riyals (SAR 100).

10. Indemnity

You agree to indemnify, defend and hold harmless JJCO and its affiliates from and against any claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

11. Suspension and termination

JJCO reserves the right, in its sole discretion and without prior notice, to modify, suspend, restrict or discontinue all or any part of the Site, or to terminate your access, at any time and for any reason, including suspected breach of these Terms.

12. Changes to these Terms

JJCO may update these Terms from time to time. The "Last updated" date at the top of this page reflects the latest revision. Continued use of the Site after changes take effect constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

13. Governing law and jurisdiction

These Terms and any dispute or claim (including non-contractual disputes) arising out of or in connection with them or the Site shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict-of-laws rules. The competent courts of Jeddah, Kingdom of Saudi Arabia, shall have exclusive jurisdiction over any such dispute.

14. Severability and waiver

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

15. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and JJCO regarding your use of the Site and supersede all prior or contemporaneous understandings on that subject.
